Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Flatpal mobile application (the "Service") operated by 2labs ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

1. Accounts

  • Eligibility: You must be at least 13 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.
  • Account Responsibility: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
  • Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2. User Conduct

You agree not to use the Service to:

  • Upload, post, email, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  • Harm minors in any way;
  • Harass, threaten, stalk, or defraud other users;
  • Attempt to gain unauthorized access to the Service, user accounts, computer systems or networks connected to the Service through hacking, password mining, or any other means;
  • Interfere with or disrupt the Service or servers or networks connected to the Service;
  • Upload, post, or transmit any content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  • Violate any applicable local, state, national, or international law.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators, and reporting you to the law enforcement authorities.

3. User Content

  • Ownership: You retain ownership of all content you create, submit, post, display, or otherwise make available on the Service, including chore details, bill information, uploaded images or invoices, grocery lists, and messages ("User Content").
  • License to Us: By making any User Content available through the Service, you grant to 2labs a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform, and distribute your User Content in connection with operating and providing the Service to you and to other users within your household group. This license is solely for the purpose of operating, developing, providing, and improving the Service.
  • Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit.

4. Subscriptions and Payments (For Service)

  • Premium Features: Flatpal may offer optional premium features or subscriptions ("Subscriptions"). If you choose to purchase a Subscription, you agree to the pricing and payment terms presented to you at the time of purchase.
  • Billing: Subscription payments are processed through a third-party payment processor (e.g., Stripe via App Store/Google Play). You must provide valid payment information. By submitting such information, you authorize us (or our third-party processor) to charge all Subscription fees incurred through your account to any such payment instruments.
  • Renewals: Subscriptions may automatically renew unless cancelled before the end of the current subscription period. You can manage and cancel your Subscriptions through your account settings in the respective app store (Apple App Store or Google Play Store).
  • No Refunds: Subscription fees are generally non-refundable except as required by law or as explicitly stated in our refund policy (if any).

5. Bill Splitting Information

Flatpal may provide features to help you and your flatmates track and calculate shared bills. However, Flatpal does not process or facilitate actual monetary transactions between users for bill splitting. We are not a payment processor for peer-to-peer payments. Any actual exchange of funds between users is handled outside of the Flatpal Service, and we are not responsible or liable for any disputes, errors, or issues related to such external transactions. The information provided in the app regarding bill splitting is for informational and organizational purposes only.

6. Disclaimers

  • "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
  • No Guarantee: 2labs, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
  • User Interactions: Flatpal is a tool to facilitate communication and organization between flatmates. We are not responsible for the actions or conduct of any user, online or offline. We are not responsible for resolving disputes between users.

7. Limitation of Liability

In no event shall 2labs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Termination

  • By Us: We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms, illegal activity, or prolonged inactivity.
  • By You: You may terminate your account at any time by using the account deletion feature within the app settings.
  • Effect: Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and use the deletion feature. Provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

10. Dispute Resolution

You agree that any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between you and 2labs. If the dispute cannot be resolved through negotiation, further legal remedies may be pursued as permitted by Australian law.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect (notification method may include in-app notice or updating the 'Last Updated' date). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
